Bienvenido a Daleki Lab ("nosotros", "nuestro" o "la Empresa"), operado por D-Legacy SAS (Ecuador) y D-Legacy USA LLC (Estados Unidos), parte del grupo Daleki World Group. Al acceder o utilizar el sitio web dalekilab.com, nuestros servicios de consultoria, herramientas de inteligencia artificial (incluido ARCO), o cualquier producto o servicio ofrecido por Daleki Lab (colectivamente, los "Servicios"), usted acepta estar sujeto a estos Terminos de Servicio ("Terminos"). Si no esta de acuerdo con estos Terminos, no utilice los Servicios.

1. Aceptacion de los Terminos

Al crear una cuenta, enviar un formulario, utilizar ARCO, contratar un servicio o simplemente navegar en nuestro sitio, usted confirma que ha leido, entendido y aceptado estos Terminos, asi como nuestra Politica de Privacidad. Si usted contrata en nombre de una empresa u organizacion, declara que tiene autoridad para vincular a dicha entidad.

Estos Terminos constituyen un acuerdo legal vinculante entre usted y Daleki Lab. Si usted es menor de 18 anos, debe contar con el consentimiento de su representante legal.

2. Descripcion de los Servicios

Daleki Lab ofrece los siguientes servicios:

• Consultoria de arquitectura de software: diseno, desarrollo y despliegue de plataformas SaaS, aplicaciones web, e-commerce, automatizaciones, paneles administrativos y CRM.
• CTO externo: asesoria estrategica en tecnologia para empresas que no cuentan con un equipo tecnico propio.
• Agentes e inteligencia artificial: desarrollo e integracion de agentes AI, chatbots y flujos automatizados.
• ARCO (Architecture & Requirements Co-pilot): un asesor conversacional con inteligencia artificial integrado en nuestro sitio web que ayuda a los usuarios a articular sus necesidades de proyecto, recopilar briefs iniciales y explorar soluciones potenciales.

Los Servicios pueden ser modificados, ampliados o descontinuados en cualquier momento a nuestra discrecion.

3. Cuentas de Usuario y Responsabilidades

Para acceder a ciertas funcionalidades puede ser necesario crear una cuenta. Usted es responsable de mantener la confidencialidad de sus credenciales de acceso y de todas las actividades que ocurran bajo su cuenta.

• Debe proporcionar informacion veraz y actualizada.
• No debe compartir sus credenciales ni permitir acceso no autorizado a su cuenta.
• Debe notificarnos inmediatamente a lab@dalekilab.com si sospecha de un acceso no autorizado.
• Nos reservamos el derecho de suspender o cancelar cuentas que violen estos Terminos o que muestren actividad fraudulenta.

4. Propiedad Intelectual

4.1 Propiedad de Daleki Lab

Todo el contenido del sitio web, incluyendo pero no limitado a texto, graficos, logotipos, iconos, imagenes, software, codigo fuente, disenos, metodologias, frameworks propietarios y la marca ARCO, son propiedad de Daleki Lab o de sus licenciantes y estan protegidos por leyes de propiedad intelectual aplicables.

4.2 Entregables al Cliente

Salvo que se acuerde lo contrario por escrito en un contrato de servicios especifico:

• El codigo personalizado desarrollado especificamente para un cliente se transfiere al cliente una vez realizado el pago completo del proyecto.
• Los componentes reutilizables, librerias internas, herramientas propietarias, templates y frameworks de Daleki Lab permanecen como propiedad exclusiva de Daleki Lab, otorgandose al cliente una licencia no exclusiva, no transferible y revocable para su uso dentro del proyecto contratado.
• El contenido del cliente (textos, imagenes, datos, marcas) proporcionado a Daleki Lab permanece como propiedad del cliente.

4.3 Portafolio y Casos de Estudio

Daleki Lab se reserva el derecho de exhibir los proyectos completados en su portafolio, redes sociales y materiales de marketing, salvo acuerdo expreso de confidencialidad.

5. Descargo de Responsabilidad sobre IA (ARCO)

ARCO es un asistente de inteligencia artificial disenado para orientar a los usuarios en la exploracion de sus necesidades tecnologicas y la recopilacion de informacion preliminar de proyectos. ARCO NO constituye asesoramiento legal, financiero, contable, medico ni profesional de ninguna naturaleza.

• Las respuestas de ARCO son generadas por modelos de lenguaje y pueden contener inexactitudes, errores o informacion desactualizada.
• No debe tomar decisiones comerciales, legales o financieras basandose unicamente en las respuestas de ARCO.
• Daleki Lab no garantiza la exactitud, integridad, idoneidad o confiabilidad de las respuestas generadas por ARCO.
• Usted reconoce que el uso de ARCO es bajo su propio riesgo y que Daleki Lab no sera responsable por decisiones tomadas con base en la informacion proporcionada por ARCO.
• Las conversaciones con ARCO pueden ser almacenadas y utilizadas para mejorar nuestros servicios, de conformidad con nuestra Politica de Privacidad.

6. Pagos y Politica de Reembolso

6.1 Metodos de Pago

Los pagos se procesan a traves de Stripe y/o MercadoPago, segun la ubicacion del cliente y el tipo de servicio. Los precios se indican en dolares estadounidenses (USD) salvo que se especifique lo contrario.

6.2 Facturacion

Los servicios de consultoria se facturan de acuerdo con las condiciones establecidas en la propuesta o contrato especifico. Los pagos recurrentes (suscripciones, retainers) se cobran automaticamente en la fecha acordada.

6.3 Reembolsos

• Servicios de consultoria: los pagos por trabajo ya realizado no son reembolsables. Si un proyecto se cancela antes de completarse, se cobrara proporcionalmente por el trabajo ejecutado hasta la fecha de cancelacion.
• Suscripciones: pueden cancelarse en cualquier momento y el acceso se mantendra hasta el final del periodo facturado. No se emiten reembolsos por periodos parciales.
• Daleki Lab se reserva el derecho de emitir reembolsos a su discrecion en circunstancias excepcionales.

6.4 Impuestos

Los precios no incluyen impuestos aplicables (IVA, sales tax, etc.) salvo que se indique expresamente. El cliente es responsable de cualquier impuesto aplicable en su jurisdiccion.

7. Niveles de Servicio

Daleki Lab opera como consultoria de software. Salvo que un acuerdo de nivel de servicio (SLA) especifico sea firmado por escrito:

• No garantizamos un tiempo de actividad (uptime) especifico para el sitio web, ARCO u otras herramientas gratuitas.
• Los plazos de entrega de proyectos son estimaciones y pueden variar segun la complejidad y alcance del trabajo.
• La comunicacion y soporte se realizan en horarios laborales (lunes a viernes, horario de Ecuador/EST), salvo acuerdo distinto.

8. Limitacion de Responsabilidad

EN LA MAXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE:

• Daleki Lab, sus directores, empleados, agentes y afiliados no seran responsables por danos indirectos, incidentales, especiales, consecuentes o punitivos, incluyendo pero no limitado a perdida de beneficios, datos, oportunidades de negocio o fondo de comercio, que surjan del uso o la imposibilidad de uso de los Servicios.
• La responsabilidad total acumulada de Daleki Lab frente a usted por cualquier reclamacion relacionada con estos Terminos o los Servicios no excedera el monto total pagado por usted a Daleki Lab durante los doce (12) meses anteriores al evento que dio origen a la reclamacion, o quinientos dolares (USD $500), lo que sea mayor.
• Esta limitacion se aplica independientemente de la teoria legal bajo la cual se presente la reclamacion (contrato, agravio, responsabilidad objetiva u otra).

9. Indemnizacion

Usted se compromete a indemnizar, defender y mantener indemne a Daleki Lab, sus directores, empleados, agentes y afiliados frente a cualquier reclamacion, demanda, responsabilidad, dano, perdida, costo o gasto (incluyendo honorarios razonables de abogados) que surjan de:

• Su uso de los Servicios.
• La violacion de estos Terminos por su parte.
• La violacion de derechos de terceros.
• Cualquier contenido o datos que usted proporcione o transmita a traves de los Servicios.

10. Exencion de Garantias

LOS SERVICIOS SE PROPORCIONAN "TAL CUAL" ("AS IS") Y "SEGUN DISPONIBILIDAD" ("AS AVAILABLE"), SIN GARANTIAS DE NINGUNA CLASE, YA SEAN EXPRESAS O IMPLICITAS.

• No garantizamos que los Servicios sean ininterrumpidos, seguros, libres de errores o que cumplan con sus expectativas especificas.
• Renunciamos expresamente a todas las garantias implicitas, incluyendo las garantias de comerciabilidad, idoneidad para un proposito particular y no infraccion.
• Las salidas generadas por inteligencia artificial (ARCO y otros modelos) se proporcionan sin garantia de exactitud, completitud o adecuacion para cualquier proposito.

11. Ley Aplicable y Jurisdiccion

Estos Terminos se rigen por un marco de doble jurisdiccion:

11.1 Para Operaciones en Ecuador (D-Legacy SAS)

Los presentes Terminos se regiran e interpretaran de conformidad con las leyes de la Republica del Ecuador, incluyendo la Ley de Comercio Electronico, Firmas Electronicas y Mensajes de Datos, el Codigo Civil ecuatoriano y demas normativa aplicable. Cualquier disputa que no pueda resolverse mediante arbitraje sera sometida a los jueces competentes de la ciudad de Quito, Ecuador.

11.2 Para Operaciones en Estados Unidos (D-Legacy USA LLC)

Para servicios prestados a traves de D-Legacy USA LLC, estos Terminos se regiran por las leyes del Estado de Florida, Estados Unidos, sin referencia a sus principios de conflicto de leyes. Cualquier disputa que no pueda resolverse mediante arbitraje sera sometida a la jurisdiccion exclusiva de los tribunales federales o estatales ubicados en el Condado de Miami-Dade, Florida.

11.3 Determinacion de Jurisdiccion

La jurisdiccion aplicable se determinara segun la entidad con la que usted haya contratado, lo cual se reflejara en su factura, contrato o propuesta comercial. En caso de ambiguedad, se aplicara la jurisdiccion ecuatoriana.

12. Resolucion de Disputas y Arbitraje

Antes de iniciar cualquier procedimiento formal, las partes se comprometen a intentar resolver cualquier disputa de buena fe mediante negociacion directa durante un periodo de treinta (30) dias calendario a partir de la notificacion escrita de la disputa.

Si la disputa no puede resolverse mediante negociacion, sera sometida a arbitraje vinculante:

• Ecuador: ante el Centro de Arbitraje y Mediacion de la Camara de Comercio de Quito, de conformidad con la Ley de Arbitraje y Mediacion del Ecuador.
• Estados Unidos: ante la American Arbitration Association (AAA) bajo sus Reglas de Arbitraje Comercial, con sede en Miami, Florida.

El arbitraje se conducira en espanol o ingles segun la jurisdiccion aplicable. La decision del arbitro sera definitiva y vinculante. Usted renuncia a cualquier derecho a participar en acciones colectivas o demandas de clase.

13. Terminacion

Cualquiera de las partes puede terminar la relacion bajo estos Terminos en cualquier momento:

• Por el usuario: dejando de utilizar los Servicios y solicitando el cierre de su cuenta mediante correo a lab@dalekilab.com.
• Por Daleki Lab: a nuestra discrecion, con o sin causa, notificando al usuario con anticipacion razonable. En caso de violacion de estos Terminos, la terminacion puede ser inmediata.

Tras la terminacion: (a) su derecho a utilizar los Servicios cesara inmediatamente; (b) las obligaciones de pago pendientes subsistiran; (c) las clausulas de propiedad intelectual, limitacion de responsabilidad, indemnizacion y arbitraje sobreviviran a la terminacion.

14. Fuerza Mayor

Daleki Lab no sera responsable por retrasos o incumplimientos derivados de causas fuera de nuestro control razonable, incluyendo pero no limitado a: desastres naturales, pandemias, actos de gobierno, guerras, terrorismo, fallos de infraestructura de internet, ataques ciberneticos, huelgas o interrupciones en servicios de terceros.

15. Divisibilidad

Si alguna disposicion de estos Terminos es declarada invalida o inaplicable por un tribunal competente, las demas disposiciones continuaran en pleno vigor y efecto. La disposicion invalida sera modificada en la medida minima necesaria para hacerla valida y aplicable.

16. Modificaciones a los Terminos

Daleki Lab se reserva el derecho de modificar estos Terminos en cualquier momento. Las modificaciones entraran en vigor al ser publicadas en esta pagina. La fecha de "ultima actualizacion" al inicio del documento reflejara la fecha de la revision mas reciente.

Para cambios materiales, haremos esfuerzos razonables por notificarle a traves del correo electronico registrado o mediante un aviso destacado en nuestro sitio web. El uso continuado de los Servicios tras la publicacion de los cambios constituye su aceptacion de los Terminos modificados.

17. Cumplimiento DMCA

Daleki Lab respeta los derechos de propiedad intelectual de terceros. Si usted considera que su obra protegida por derechos de autor ha sido copiada o publicada en nuestros Servicios de forma que constituya una infraccion, por favor envie una notificacion conforme a la Digital Millennium Copyright Act (DMCA) a: lab@dalekilab.com, con asunto "DMCA Notice".

La notificacion debe incluir:

• Identificacion de la obra protegida.
• Identificacion del material presuntamente infractor y su ubicacion.
• Informacion de contacto del reclamante.
• Declaracion de buena fe de que el uso no esta autorizado por el titular del derecho.
• Declaracion bajo pena de perjurio de que la informacion es exacta y que usted es el titular o actua en su nombre.
• Firma del titular o su representante autorizado.

18. Cumplimiento de Exportaciones

Usted acepta cumplir con todas las leyes y regulaciones de exportacion aplicables, incluyendo las de Estados Unidos (EAR, OFAC) y Ecuador. No utilizara los Servicios en paises o territorios sujetos a sanciones comprensivas, ni proporcionara acceso a personas o entidades incluidas en listas de sanciones.

Welcome to Daleki Lab ("we", "us", "our", or the "Company"), operated by D-Legacy SAS (Ecuador) and D-Legacy USA LLC (United States), part of the Daleki World Group. By accessing or using the website dalekilab.com, our consulting services, artificial intelligence tools (including ARCO), or any product or service offered by Daleki Lab (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By creating an account, submitting a form, using ARCO, engaging a service, or simply browsing our website, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy. If you are contracting on behalf of a company or organization, you represent that you have the authority to bind that entity.

These Terms constitute a legally binding agreement between you and Daleki Lab. If you are under 18 years of age, you must have the consent of your legal guardian.

2. Description of Services

Daleki Lab offers the following services:

• Software architecture consulting: design, development, and deployment of SaaS platforms, web applications, e-commerce, automations, admin panels, and CRM systems.
• External CTO: strategic technology advisory for companies without in-house technical teams.
• AI agents and artificial intelligence: development and integration of AI agents, chatbots, and automated workflows.
• ARCO (Architecture & Requirements Co-pilot): a conversational AI advisor embedded in our website that helps users articulate their project needs, collect initial briefs, and explore potential solutions.

Services may be modified, expanded, or discontinued at any time at our discretion.

3. User Accounts and Responsibilities

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

• You must provide truthful and up-to-date information.
• You must not share your credentials or allow unauthorized access to your account.
• You must immediately notify us at lab@dalekilab.com if you suspect unauthorized access.
• We reserve the right to suspend or terminate accounts that violate these Terms or that exhibit fraudulent activity.

4. Intellectual Property

4.1 Daleki Lab Ownership

All website content, including but not limited to text, graphics, logos, icons, images, software, source code, designs, methodologies, proprietary frameworks, and the ARCO brand, are the property of Daleki Lab or its licensors and are protected by applicable intellectual property laws.

4.2 Client Deliverables

Unless otherwise agreed in writing in a specific service agreement:

• Custom code developed specifically for a client transfers to the client upon full payment of the project.
• Reusable components, internal libraries, proprietary tools, templates, and frameworks of Daleki Lab remain the exclusive property of Daleki Lab, with the client receiving a non-exclusive, non-transferable, revocable license for use within the contracted project.
• Client content (text, images, data, trademarks) provided to Daleki Lab remains the property of the client.

4.3 Portfolio and Case Studies

Daleki Lab reserves the right to showcase completed projects in its portfolio, social media, and marketing materials, unless an express confidentiality agreement is in place.

5. AI Disclaimer (ARCO)

ARCO is an artificial intelligence assistant designed to guide users in exploring their technology needs and collecting preliminary project information. ARCO DOES NOT constitute legal, financial, accounting, medical, or professional advice of any kind.

• ARCO's responses are generated by language models and may contain inaccuracies, errors, or outdated information.
• You should not make business, legal, or financial decisions based solely on ARCO's responses.
• Daleki Lab does not guarantee the accuracy, completeness, suitability, or reliability of responses generated by ARCO.
• You acknowledge that your use of ARCO is at your own risk and that Daleki Lab shall not be liable for decisions made based on information provided by ARCO.
• Conversations with ARCO may be stored and used to improve our services, in accordance with our Privacy Policy.

6. Payment Terms and Refund Policy

6.1 Payment Methods

Payments are processed through Stripe and/or MercadoPago, depending on the client's location and service type. Prices are quoted in US dollars (USD) unless otherwise specified.

6.2 Billing

Consulting services are billed according to the conditions set forth in the specific proposal or contract. Recurring payments (subscriptions, retainers) are charged automatically on the agreed date.

6.3 Refunds

• Consulting services: payments for work already performed are non-refundable. If a project is cancelled before completion, you will be charged proportionally for work completed through the date of cancellation.
• Subscriptions: may be cancelled at any time and access will be maintained until the end of the billed period. No refunds are issued for partial periods.
• Daleki Lab reserves the right to issue refunds at its discretion under exceptional circumstances.

6.4 Taxes

Prices do not include applicable taxes (VAT, sales tax, etc.) unless expressly stated. The client is responsible for any applicable taxes in their jurisdiction.

7. Service Level Expectations

Daleki Lab operates as a software consultancy. Unless a specific Service Level Agreement (SLA) is signed in writing:

• We do not guarantee specific uptime for the website, ARCO, or other free tools.
• Project delivery timelines are estimates and may vary depending on the complexity and scope of work.
• Communication and support are provided during business hours (Monday through Friday, Ecuador/EST time zone), unless otherwise agreed.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Daleki Lab, its directors, employees, agents, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from the use or inability to use the Services.
• Daleki Lab's total aggregate liability to you for any claim related to these Terms or the Services shall not exceed the total amount paid by you to Daleki Lab during the twelve (12) months preceding the event giving rise to the claim, or five hundred US dollars (USD $500), whichever is greater.
• This limitation applies regardless of the legal theory under which the claim is brought (contract, tort, strict liability, or otherwise).

9. Indemnification

You agree to indemnify, defend, and hold harmless Daleki Lab, its directors, employees, agents, and affiliates from and against any claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of third-party rights.
• Any content or data you provide or transmit through the Services.

10. Warranty Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

• We do not warrant that the Services will be uninterrupted, secure, error-free, or that they will meet your specific expectations.
• We expressly disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Outputs generated by artificial intelligence (ARCO and other models) are provided without warranty of accuracy, completeness, or fitness for any purpose.

11. Governing Law and Jurisdiction

These Terms are governed by a dual-jurisdiction framework:

11.1 Ecuador Operations (D-Legacy SAS)

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ecuador, including the Electronic Commerce, Electronic Signatures and Data Messages Act, the Ecuadorian Civil Code, and other applicable regulations. Any dispute that cannot be resolved through arbitration shall be submitted to the competent courts of the city of Quito, Ecuador.

11.2 United States Operations (D-Legacy USA LLC)

For services rendered through D-Legacy USA LLC, these Terms shall be governed by the laws of the State of Florida, United States, without reference to its conflict of laws principles. Any dispute that cannot be resolved through arbitration shall be submitted to the exclusive jurisdiction of the federal or state courts located in Miami-Dade County, Florida.

11.3 Jurisdiction Determination

The applicable jurisdiction shall be determined by the entity with which you have contracted, as reflected in your invoice, contract, or commercial proposal. In case of ambiguity, Ecuadorian jurisdiction shall apply.

12. Dispute Resolution and Arbitration

Before initiating any formal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of thirty (30) calendar days from written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration:

• Ecuador: before the Arbitration and Mediation Center of the Quito Chamber of Commerce, in accordance with Ecuador's Arbitration and Mediation Act.
• United States: before the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Miami, Florida.

Arbitration shall be conducted in Spanish or English depending on the applicable jurisdiction. The arbitrator's decision shall be final and binding. You waive any right to participate in class actions or class-wide claims.

13. Termination

Either party may terminate the relationship under these Terms at any time:

• By the user: by ceasing to use the Services and requesting account closure via email to lab@dalekilab.com.
• By Daleki Lab: at our discretion, with or without cause, by providing reasonable advance notice. In the event of a breach of these Terms, termination may be immediate.

Upon termination: (a) your right to use the Services shall cease immediately; (b) outstanding payment obligations shall survive; (c) the intellectual property, limitation of liability, indemnification, and arbitration clauses shall survive termination.

14. Force Majeure

Daleki Lab shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, wars, terrorism, internet infrastructure failures, cyberattacks, strikes, or disruptions in third-party services.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Modifications to Terms

Daleki Lab reserves the right to modify these Terms at any time. Modifications become effective upon posting on this page. The "last updated" date at the top of the document will reflect the most recent revision date.

For material changes, we will make reasonable efforts to notify you via the registered email address or through a prominent notice on our website. Continued use of the Services after changes are posted constitutes your acceptance of the modified Terms.

17. DMCA Compliance

Daleki Lab respects the intellectual property rights of third parties. If you believe your copyrighted work has been copied or posted on our Services in a manner that constitutes infringement, please send a notice pursuant to the Digital Millennium Copyright Act (DMCA) to: lab@dalekilab.com, with the subject line "DMCA Notice".

The notice must include:

18. Export Compliance

You agree to comply with all applicable export laws and regulations, including those of the United States (EAR, OFAC) and Ecuador. You shall not use the Services in countries or territories subject to comprehensive sanctions, nor provide access to persons or entities on sanctions lists.
